  2. **Eligibility:** Only legal U.S. residents (except residents of Puerto Rico, Guam and the Virgin Islands) and over the age of thirteen years of age are eligible to enter this Promotion. This Promotion is void where prohibited by law. Employees and the immediate family or household members of Mixaloo, Inc. (“Sponsor”), its respective parents, its affiliates, subsidiaries, suppliers, printers, distributors, advertising and promotional agencies, and prize suppliers are not eligible to participate. Entrants are subject to all applicable federal, state and local laws and regulations.

  3. **Sponsor:** This Promotion is sponsored by Mixaloo, Inc. with a principle place of business at 35 Main Street, Suite 441, Poughkeepsie, NY 12602.

  4. **Agreement to Official Rules:** By participating in this Promotion, entrants agree to abide by the terms and conditions as established by Sponsor. Sponsor reserves the right to qualify all submissions and to reject any submissions that do not meet the requirements for participation as established by Sponsor.

  5. **How to Enter:** You may enter by completing the official Mixaloo User Registration form located on www.Mixaloo.com. For existing Mixaloo users, you will be required to log in with your Mixaloo ID and Password at Mixaloo.com to be entered. In the event that you are not an existing Mixaloo member, you will need to register for a free Mixaloo Account through the on-screen registration accessible by clicking on a text box or on the Register link on the top right of the page. One entry is allowed per person via registration. In the event that a user has installed the Mixaloo Application on Facebook and wishes to participate in the Sweepstakes, they will be asked to complete the Mixaloo.com registration process which merges their Facebook Mixaloo Application registration with their Mixaloo Registration. Automated or robotic entries submitted by individuals or organizations will be disqualified and considered void. Users can receive multiple entries (up to 25 total entries) to the contest by creating a Qualifying Mix. For the avoidance of doubt and for the sole purpose of this Sweepstakes, a Qualifying Mixaloo Mix is one that is created using on Mixaloo.com or via the Mixaloo Facebook Application and contains a Mix Title, Mix Description, and between 10 – 15 tracks. Mixes must be current and complete (containing between 10 – 15 tracks) at the time of Prize Selection. Deleted or Incomplete Mixes will not be eligible for entry.

    Sponsor assumes no responsibility for computer system, hardware, software or program malfunctions or other errors, failures, delayed computer transactions or network connections that are human or technical in nature, or for damaged, lost, late, illegible or misdirected entries; technical, hardware, software, electronic or telephone failures of any kind; lost or unavailable network connections; fraudulent, incomplete, garbled or delayed computer transmissions whether caused by Sponsor, the users, or by any of the equipment or programming associated with or utilized in this Promotion; or by any technical or human error that may occur in the processing of submissions or downloading, that may limit, delay or prevent an entrant’s ability to participate in the Promotion.

    Sponsor reserves the right, in its sole discretion, to terminate or suspend this Promotion and award a prize from entries received up to time of termination or suspension should virus, bugs or other causes beyond Sponsor’s control, unauthorized human intervention, malfunction, computer problems, phone line or any network hardware or software malfunction, which, in the sole opinion of Sponsor, corrupts, compromises or materially affects the administration, fairness, security or proper play of the Promotion or proper submission of entries. Sponsor is not liable for any loss, injury or damage caused, whether directly or indirectly, in whole or in part, from downloading data or otherwise participating in this Promotion.

  6. **Entry Period:** Promotion begins January 17th, 2008 at 12:01 PM EST and ends March 17th, 2008 at 5:00 PM EST. Entries received before or after the entry period are void.

  7. **Selection of Winners:** Winners will be selected randomly on or around March 20th, 2007. Selection of winner will be by random selection from all qualifying entries and all prize packages will be award through random selection.

  8. **Notification of Potential Prize Winners:** The Winners will be notified of their selection as a winner via their email address as registered with Mixaloo.com between March 21st and March 25th, 2007. Each Prize Winner must confirm acceptance of their Prize by reply e-mail within 48 hours of such notification in order to claim their Prize. Winners may be required to provide additional information including prize preference or sizing in order to receive their prize. All Prize Winners will be REQUIRED to provide Mixaloo with a viable mailing address (PO Box Numbers are not considered Viable for the purposes of this Sweepstakes) in order to receive their Prize. In the absent of such confirmation of acceptance or the provision of required information from one or more Prize Winner within 7 days of notification, Mixaloo will then select another Potential Prize Winner using the same procedure specified in paragraph 7 above until all Prize winners are confirmed.

  9. **Requirements of Prize Winners:** Sponsor may, within its sole discretion, require the Prize Winners to sign and return affidavits of eligibility and liability and a publicity release, wherever lawful, as a precondition to award of the Prizes. If any Prize Winner fails to provide valid feedback or fails to sign and return the requested affidavit of eligibility and liability/public release as requested by Sponsor, that Prize Winner may be disqualified, and the procedures set forth in paragraphs 7 and 8 above to select a replacement Winner shall be employed.

  10. **Prizes:** Mixaloo is giving away three prize packages each with a defined number of winners. The Prize Packages are Defined as Grand Prize Package, Runner Up Prize Package, and Additional Prize Package. Prize packages and the number of packages to be awarded are as follows:

    Grand Prize Package

    One (1) Grand Prize Package consisting of One (1) Sony Television (32” Sony Bravia M-Series HDTV) , One (1) Sony Home Entertainment System (Model Number: Sony DAV-IS10), One (1) Sony Walkman (Selected from one of the following Model Numbers: NWZ-A815/816/818 or NWZ-S615F/616F/618F), One (1) Mixaloo T-Shirt, and One (1) Mixaloo Hat.

    Runner Up Prize Package

    Nineteen (19) Runner Up Prize Packages will be awarded. Runner Up Prize Packages consist of One (1) Sony Walkman (Selected from one of the following Model Numbers: NWZ-A815/816/818 or NWZ-S615F/616F/618F), One (1) Mixaloo T-Shirt, and One (1) Mixaloo Hat.

    Additional Prize Package

    Thirty (30) Additional Prize Packages will be awarded. Additional Prize Packages consist of One (1) Mixaloo T-Shirt, and One (1) Mixaloo Hat.

  11. **Prizes Substitution** In the event that any Prizes defined above consisting of any or all of the Prize Packages are unavailable at the time Prizes are awarded, Mixaloo, Inc. reserves the right to substitute such Prize or Prizes with a “Substitution Prize” that we consider in our sole discretion to be of equal or greater value.

  12. **Release and Publicity:** By participating in this Promotion, you agree to Sponsor’s use of your personal information as described in Sponsor’s Online Privacy Statement at www.Mixaloo.com. Among other uses, Sponsor may disclose any personal information it collects in connection with this Promotion to third parties only in a manner consistent with its Online Privacy Statement. No entries will be returned. All entries become the property of Sponsor. By entering, you consent to the use by Sponsor of all the information provided in the entries for marketing or sales promotional purposes without any attribution, identification, right of review or compensation, except where prohibited. The Winners agree to release and hold harmless Sponsor and its officers, directors, employees and agents from and against any claim or cause of action arising out of participation in this Promotion.

  13. **Official Rules:** Official Sweepstakes Rules shall be available in hard copy upon request through transmission of a self-addressed, stamped envelope to Mixaloo Inc, 35 Main Street, Suite 441, Poughkeepsie, NY 12602.
